Сделка проводилась с использованием обыкновенных акций Imation и наличных.<br /><div align="center"><img src="http://www.hdtv.ru/uploads/posts/1186832087_imation_logo.jpg" style="border: none;" alt='Imation завершила приобретение бренда TDK' /></div><br />Imation выпустила для TDK 6,8 млн. акций, что составляет 16,6% акций после выпуска акций для TDK. Дополнительные наличные средства, потребительские издержки, комиссии за консультации в общей сумме составляют примерно $260 млн. TDK становится крупнейшим акционером Imation и, согласно условиям контракта, имеет право выдвинуть представителя, который будет состоять в совете директоров Imation.<br /><br /><i>Основные условия и показатели сделки</i>:<br /><li>     Imation приобрела активы и акции предприятия TDK, разрешение использовать название бренда TDK для нынешних и будущих медиа-носителей, включая магнитные ленты, оптические носители и аксессуары;</li><br /><li>     TDK осуществляет работу по всему миру, в основном в Японии, Европе, Соединённых Штатах и во всём Азиатско-Тихоокеанском регионе. В общей сложности около 350 работников перешли в Imation. Объединенная команда определяет будущие условия совместного бизнеса;</li><br /><li>     По условию соглашения Imation имеет право на использование бренда TDK для нынешних и будущих записываемых магнитных, оптических, флэш-продуктов и аксессуаров. Компания TDK может отменить это право через 25 лет с годовым сроком на возвращение бренда. Сделка предусматривает договор поставки магнитных лент, включая накопители данных, аудио- и видеокассеты под маркой TDK.</li><br /><br />По данным Imation, за 12-месячный период, закончившийся в декабре 2006 года, TDK заработала примерно $670 млн. на бизнесе, проданном Imation. После объединения Imation ожидает от $575 до $600 млн. дохода по этому бизнесу в связи с ликвидацией некоторых доходов, связанных с брендом TDK.
